1. Accepting these terms
These Terms of Service (the “Terms”) are a binding agreement between you and WellAttended (“WellAttended,” “we,” “us,” or “our”) governing your access to and use of the WellAttended websites, applications, and services (together, the “Services”).
By creating an account, listing an event, purchasing a ticket, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. WellAttended’s services and role
WellAttended provides a platform that lets event organizers (“Organizers”) create event listings and sell tickets, and lets attendees (“Attendees”) discover events and purchase tickets. WellAttended is a technology and payments-processing provider — not the organizer, producer, owner, or operator of any event listed on the Services.
The agreement to attend an event is between the Attendee and the Organizer. WellAttended is not responsible for, and does not control, the events themselves, an Organizer’s conduct, or whether an event takes place as described. Any dispute about an event is between the Attendee and the Organizer.
3. Eligibility and your account
You must be at least the age of majority in your jurisdiction to use the Services. You are responsible for the accuracy of the information you provide, for keeping your account credentials secure, and for all activity that occurs under your account.
Notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Services, Organizers, or Attendees.
4. Organizers: your responsibilities
If you use the Services as an Organizer, you are solely responsible for your event, its listing, and its delivery, including obtaining all licenses, permits, insurance, and tax registrations required to run and promote your event and to sell tickets lawfully.
You must keep your listings accurate and not misleading, honor the tickets you sell, comply with all applicable laws, and set and clearly communicate your own refund, cancellation, and rescheduling policies. You are responsible for collecting and remitting any taxes applicable to your event and for handling attendee questions and complaints.
5. Attendees: purchasing tickets
When you buy a ticket, you are entering into a purchase with the Organizer, processed through WellAttended. Prices, availability, add-ons, and any event-specific rules are set by the Organizer. Please review the event details and the Organizer’s policies before completing your purchase.
Tickets are licenses to attend an event subject to the Organizer’s terms. Reselling, transferring, or using tickets in violation of the Organizer’s rules or applicable law may result in the ticket being voided.
6. Fees, payments, and payouts
Payments are processed by our third-party payment processor. By purchasing or selling through the Services, you agree to the payment processor’s terms in addition to these Terms. WellAttended and the payment processor may charge service, processing, and payout fees, which are disclosed at the point of purchase or in your account.
Organizers authorize WellAttended and its payment processor to collect ticket proceeds on their behalf and to disburse them, net of applicable fees, refunds, chargebacks, and adjustments. You are responsible for any chargebacks, reversals, or fraud associated with your transactions.
7. Refunds and cancellations
Refunds are governed by the Organizer’s refund policy for each event. Because the Organizer — not WellAttended — controls the event and its policies, refund requests are generally handled by the Organizer. WellAttended may, but is not obligated to, facilitate refunds where a policy or applicable law requires one.
If an event is canceled, postponed, or materially changed, the Organizer is responsible for communicating with Attendees and honoring any applicable refunds. WellAttended is not liable for an Organizer’s failure to provide a refund.
8. Prohibited conduct
You agree not to use the Services to: violate any law or third-party right; post false, fraudulent, or infringing content; sell tickets to unlawful events or events you are not authorized to run; interfere with or disrupt the Services; attempt to gain unauthorized access to any system or account; or use the Services to transmit malware, spam, or abusive content.
We may remove content, cancel listings, withhold funds, and suspend or terminate accounts that we reasonably believe violate these Terms or harm the Services or their users.
9. Your content and intellectual property
You retain ownership of the content you submit (event descriptions, images, logos, and other materials). You grant WellAttended a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, and distribute that content as needed to operate and promote the Services and your events.
The Services, and all software, design, and other materials we provide, are owned by WellAttended or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted here, we reserve all rights.
10. No scraping or unauthorized commercial use
You may not scrape, harvest, or systematically extract data from the Services, or use the Services or their content for a competing product or other unauthorized commercial purpose, without our prior written consent.
11. Third-party services and links
The Services integrate with and may link to third-party services (for example, payment processing and video conferencing). Your use of those services is governed by their own terms and privacy policies. WellAttended is not responsible for third-party services or content and does not endorse them.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to that collection and use. Organizers are independently responsible for their handling of Attendee information they receive through the Services.
13. Disclaimer of warranties
The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any event will occur as described.
14. Limitation of liability
To the fullest extent permitted by law, WellAttended and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services or any event.
To the fullest extent permitted by law, WellAttended’s total liability for any claim arising out of or related to the Services will not exceed the greater of the fees WellAttended earned from the transaction giving rise to the claim, or one hundred U.S. dollars.
15. Indemnification
You agree to indemnify and hold harmless WellAttended and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your events, your content, or your violation of these Terms or any law or third-party right.
16. Dispute resolution
The parties will attempt to resolve any dispute informally before pursuing formal proceedings. Any binding arbitration, class-action waiver, or similar provisions will be set out here in the final, legally reviewed version of these Terms.
17. Governing law
These Terms are governed by the laws of the jurisdiction in which WellAttended is established, without regard to conflict-of-laws principles. The specific governing law and venue will be confirmed in the final, legally reviewed version of these Terms.
18. Term and termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access at any time if you violate these Terms or to protect the Services or their users. Provisions that by their nature should survive termination (such as fees owed, content licenses, disclaimers, limitations of liability, and indemnities) will survive.
19. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, where required, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
